Thank you for your interest in the Soil+ Referral Program offered by Vayda, Inc. (“Vayda,” “we,” “us,” or “our”). Through the Soil+ Program, Vayda partners with growers to deliver customized regenerative agriculture solutions designed to enhance productivity, maximize profitability and improve soil health. The Soil+ Referral Program (the “Referral Program”) rewards existing Soil+ customers (“Referrers”) and newly referred growers (“Referred Growers”) who enroll acres into the Soil+ program.
These Terms and Conditions (“Terms”) govern access to and participation in the Referral Program. By participating in the Referral Program, both Referrers and Referred Growers agree to be bound by these Terms. If you do not agree to these Terms, you must refrain from submitting referrals or participating in the program.
1. Eligibility Criteria
1.1. Referrer Eligibility
- The Referrer must be an existing Soil+ customer.
- There is no limit to the number of referrals a Referrer can make during the program period.
1.2. Referred Grower Eligibility
- The Referred Grower must be a new customer who has not previously enrolled in the Soil+ program or been contacted by a Vayda advisor.
- The Referred Grower must enroll a minimum of 100 acres into the Soil+ program.
- Enrollment must be completed within 60 days of the referral submission date.
2. Referral Rewards
2.1. Referrer Reward
- The Referrer will receive a credit equal to 10% of the Referred Grower’s enrolled acres, applied to their future Soil+ fees.
2.2. Referred Grower Reward
- The Referred Grower will receive a 10% discount on their enrolled acres' fees.
- The Referred Grower is also eligible for the New Acre Discount, which offers a discounted rate of $16 per acre (down from the standard $24 per acre) for all new acres enrolled.
3. How to Participate
3.1. Submitting Referrals
- Referrals can be submitted via the program landing page: vayda.com/friends.
- Alternatively, the Referred Grower can mention the Referrer’s name to a Vayda account manager, who will complete the submission.
3.2. Referral Validation
- Referrals will be validated to ensure compliance with eligibility criteria.
- Vayda reserves the right to reject referrals that do not meet the program’s terms.
4. General Conditions
4.1. Promotions and Discounts
- The only promotion that can be combined with the Referral Program is the New Acre Discount, which is currently offered at $16 per acre instead of the standard rate of $24 per acre.
- Other discounts, offers, or promotions cannot be combined with the Referral Program.
4.2. Reward Application
- Rewards will be applied as future credit or discounts to the Referrer and Referred Grower’s next invoice cycle.
4.3. Fraud Prevention
- Any fraudulent activity, including false or duplicate referrals, will disqualify all parties involved from receiving rewards
4.4 Duration of the Program
The Soil+ Referral Program runs from November 18th, 2024, to March 30th, 2025.
5. Exclusions
5.1. Existing Customers
- Referred Growers already enrolled in Soil+ or actively engaged with a Vayda advisor are not eligible for this program.
5.2. Active Engagement Status
Referrals will not qualify if the Referred Grower is already under Active Engagement Status with Vayda. Active Engagement Status refers to growers who are actively being evaluated or contacted by the Vayda sales team.
- Eligible for Referral:
- Growers who have been identified through Vayda’s marketing efforts but have not yet been contacted by the sales team are eligible for referral.
- Examples include growers who responded to email campaigns, attended events, or expressed interest without further follow-up.
- Not Eligible for Referral:
- Growers who are actively engaged in discussions with the Vayda sales team are not eligible for referral.
- This includes growers who are being evaluated for enrollment, have received program details, or are in the process of making decisions about joining the Soil+ program.
If a grower is already in direct communication with the Vayda team regarding their potential enrollment, they are considered actively engaged and are not eligible for referral under this program.
6. Program Termination
- Vayda reserves the right to modify, suspend, or terminate the Referral Program at any time without prior notice.
7. Example of How Discounts and Credits Are Applied
Scenario:
- A new grower enrolls 200 acres.
- The New Acre Discount rate of $16 per acre applies.
Calculation for Referred Grower:
- Base Program Fee at Discounted Rate:
$16 × 200 acres = $3,200 - 10% Referral Discount:
$3,200 × 10% = $320 - Discounted Fee:
$3,200 - $320 = $2,880
The Referred Grower will pay $2,880 for their 200 acres after both the New Acre Discount and the 10% referral discount are applied.
Calculation for Referrer:
- Credit Earned:
200 acres × 10% = 20 acres - Future Credit Value:
20 acres × $16 per acre = $320 - The Referrer will receive $320 in credit, which will be applied to their next invoice.
